These Terms of Service and End User License Agreement (“Agreement”) are a legal agreement between you (“User” or “You”) and Martijn Courteaux (“Developer”, “I”, “Me”, or “My”), a sole proprietor (zelfstandige in hoofdberoep) based in Belgium, for the use of the SilverNode desktop application (“Software”).
By purchasing, downloading, or using the Software, you agree to be bound by the terms of this Agreement.
1. License Types and Grants
The Software is licensed, not sold. Subject to your compliance with this Agreement and payment of applicable fees, I grant you a limited, non-exclusive, non-transferable license to install and use the Software.
Depending on your purchase, the following license terms apply:
- Base Package (Perpetual): Grants a perpetual license to use the Software. Includes access to all new software updates for exactly two (2) years from the date of purchase. After two years, you may continue to use the latest version you received indefinitely, but you must purchase a license renewal to receive subsequent updates.
- Pro-Unlock (Subscription): An active, recurring subscription that unlocks additional “Pro” features within the Software. The specific features included in the Pro tier are subject to change, addition, or removal at the Developer’s discretion If the subscription is canceled or expires, access to the Pro features will be revoked, though you retain your Base license rights.
- Pro License (Lifetime): Grants a perpetual license to the Software with lifetime software updates and lifetime access to all Pro features.
2. Device Limits and Usage Rights
- Individual Users: You may install and use your license on a maximum of five (5) devices that you personally own, simultaneously. You may deactivate and reassign these installations to new devices you own at any time. Your license is strictly for your own use and cannot be shared with or transferred to other individuals.
- Business Users: If purchased by a business or organization, the license may be assigned to a maximum of five (5) employees or devices simultaneously. Business licenses are strictly for commercial work on behalf of the company; employees may not use the business license for their personal, non-business use.
3. Purchases, Subscriptions, and Refunds
- Merchant of Record: All purchases are securely processed and managed by our Merchant of Record, Lemon Squeezy. By purchasing the Software, you also agree to Lemon Squeezy’s terms of sale.
- Refund Policy: I offer a 30-day money-back guarantee. If you are not satisfied with the Software, you may request a full refund within 30 days of your original purchase by contacting me at support@silvernode.io.
- Subscription Price Changes: I reserve the right to change the pricing of the Pro-Unlock subscription at any time. Any price changes will apply to subsequent billing cycles, and you will be notified in advance so you can choose to cancel before the new pricing takes effect.
4. License Verification and Offline Use
The Software requires periodic internet access to verify the validity of your license against my licensing servers.
- Once validated, the Software grants a two-week (14-day) offline grace period, during which you can use the Software completely without an internet connection.
- You may manually re-validate your license in the Software at any time while connected to the internet to reset this 14-day grace period.
- If the Software cannot verify your license after the 14-day offline period expires, access to the Software (or its Pro features) may be restricted until an internet connection restores verification.
5. Intellectual Property
- Your Content: You retain all intellectual property rights to the photographs, images, and files you process using the Software. I claim no ownership over your work.
- The Software: I retain all rights, title, and interest in and to the Software, including its code, design, branding, and proprietary algorithms. You may not reverse engineer, decompile, pirate, or modify the Software.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. I DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM BUGS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, I DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY BELGIAN LAW, IN NO EVENT SHALL I (THE DEVELOPER) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR FILE CORRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE. MY TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Assignment and Business Restructuring
I reserve the right to assign, transfer, or delegate this Agreement, along with all associated user rights, licenses, and administrative obligations, to a newly formed company, corporation, or third party at my sole discretion without prior notice. Your license rights will remain unaffected by any such structural change.
9. Modifications to these Terms
I reserve the right to modify these terms at any time. If I make material changes, I will notify you (for example, via email or a notice within the Software). Continued use of the Software after changes become effective constitutes your acceptance of the revised Terms.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles. Any legal action or dispute arising out of this Agreement shall be resolved exclusively in the competent courts of Belgium.
